TERMS OF SERVICE

Terms governing registration, access to, and use of Selling Sync software.

1. Acceptance of terms and legal authority

These Terms of Service ("ToS") constitute a binding legal agreement between Hemidi Joint Stock Company ("Hemidi", "we") and any organization, business, or individual registering for, accessing, or using Selling Sync software ("Customer", "User").

By completing account registration, selecting "I agree to the Terms of Service", or using any feature on sellingsync.com, the Customer confirms that they have read, understood, and agreed to comply with all provisions of these ToS and the accompanying Privacy Policy.

If the Customer represents a business organization, they warrant that they have full legal authority to bind that organization to this agreement.

2. Software service model and agency disclaimer

Selling Sync is a software-as-a-service (SaaS) technology solution that helps sellers automate operations across multichannel ecommerce platforms. Hemidi acts solely as a provider of technical software tools.

Hemidi is not an ecommerce marketplace, shipping provider, authorized agent, or direct party to transactions between the Customer and end buyers on third-party ecommerce marketplaces.

3. Account registration, management, and security

To access the software, the Customer must register an account and provide accurate information including their full name, business email, phone number, business name, and valid payment information. The Customer must keep this information up to date.

The Customer is responsible for keeping login credentials, passwords, API keys, and encrypted connection codes strictly confidential. All activity originating from the Customer's account is deemed to have been performed or authorized by the Customer.

The Customer must immediately notify Hemidi at contact@hemidi.com upon discovering any unauthorized access or security incident.

4. Lawful use and prohibited activities

Hemidi grants the Customer a non-exclusive, non-transferable right to use Selling Sync software for the duration of their subscribed plan, solely for the Customer's internal business operations.

The Customer is prohibited from engaging in the following activities:

  • Reproducing, copying, reselling, renting, or redistributing Selling Sync software in any form without Hemidi's written consent.
  • Disassembling, decompiling, reverse engineering, or attempting to extract the software's source code.
  • Using the software to store or transmit unlawful information, infringe third-party intellectual property rights, or distribute viruses or malicious code.
  • Intentionally bypassing authorization systems, interfering with enterprise data isolation, or disrupting Hemidi's network infrastructure.
  • Abusing automation tools to commit fraud or violate the Terms of Service of partner ecommerce marketplaces.

5. Third-party API integrations and marketplace liability disclaimer

Selling Sync operates by connecting to and interacting with the application programming interfaces (APIs) of third-party ecommerce marketplaces such as Amazon, Shopify, Walmart, Etsy, and eBay. The Customer is solely responsible for maintaining the lawful operating status of their seller accounts on these platforms.

Hemidi is not legally liable for any service interruption, API disconnection, seller account suspension, or data loss arising from sudden policy changes, technical incidents, or enforcement decisions by third-party ecommerce marketplaces.

6. Disclaimer for artificial intelligence recommendations

Selling Sync uses the Decision Intelligence Layer (DIL) and AI algorithms to analyze business metrics and provide operational recommendations such as price adjustments, advertising Cost Per Click (CPC) optimization, and Predictive Restock alerts.

These recommendations are analytical support for reference purposes. The Customer retains full authority to approve, execute, or decline these tasks.

Hemidi disclaims all liability for financial damage, revenue loss, or effects on seller account metrics resulting from the Customer's application of automated or manual recommendations suggested by the software.

7. Service suspension and termination

Hemidi may suspend or terminate the Customer's access to the Service without prior notice if the Customer violates any provision of these ToS, payment is overdue by more than 14 business days, or a competent government authority requires it.

Upon termination, the Customer has 30 days to request an export of their personal operational data before the system moves the data to frozen storage or permanently deletes it in accordance with data retention rules.
